Osborne Clarke advises on major investment in rapid-growth cybersecurity and cloud specialist

A cross-firm team from the Bristol office of international legal practice Osborne Clarke has worked with a pan-European B2B tech investor on a deal which will accelerate the growth of a UK-based supplier of global networking and cybersecurity services.

London-based Volpi Capital’s investment in Xalient will expand its product portfolio with complementary capabilities and scale its distinctive market proposition using mergers and acquisitions and further investments. 

Founded in 2015, Leeds-based Xalient helps large corporations secure and rapidly migrate their networks to the cloud using cutting-edge technologies.

It benefits from a global client base, notably in the US where it has a growing footprint.

The company has demonstrated exponential growth in recent years as businesses rise to the challenge of becoming more agile, more connected, and most critically, more cybersecure.

With blue-chip clients including Kellogg’s, Keurig Dr Pepper, WPP and Avis Budget Group, Xalient has been recognised as one of the fastest-growing firms in the UK and Europe this year. 

Osborne Clarke’s team was led by Bristol-based corporate partners Alisdair Livingstone, pictured, and Chris Yeo who were supported by associate director James MacKay, associate Hannah Stevens and associate Zarina Alexander.

Partner David Nisbet and associate director Rob Thomas provided tax advice and senior associate Rhiannon Jones advised on incentives. Financial details of the deal have not been released although Volpi typically invests €25-75m of equity in businesses with enterprise values between €50m and €200m.

Volpi was also advised by accountants KPMG (financial and tax due diligence) and RSM (structuring), management consultancy Altman Solon (commercial due diligence) and insurance broker Marsh.

Xalient was advised by law firm Mishcon de Reya, investment bank Houlihan Lokey (corporate finance) and accountancy groups PwC (financial due diligence) and EY Parthenon (commercial due diligence).
