Foot Anstey helps Dutch smartcard software group snap up UK ‘physical identity’ tech firm

The private equity team at national law firm Foot Anstey has advised on the takeover of a specialised UK professional services firm for Dutch software and design client ID-ware Group.

The Hague-headquartered ID-ware, which is backed by private equity firm Committed Capital, acquired Cipher10 for an undisclosed amount. 

Cipher10 offers specialised professional services in the physical identity and access management (PIAM) industry alongside its cloud-based solutions, particularly to the government sector.

As a result, the deal is set to significantly expand ID-ware’s footprint in the (PIAM) industry, with the potential to generate growth for the combined firms in the UK technology market.

ID-ware primarily focuses on PIAM and smartcard life-cycles, having built its own innovative and highly-functioning ‘enterprise’ platform and online card management system to support customers. Committed Capital acquired a majority stake in ID-ware in 2020.

The Foot Anstey team, which advised on all aspects of the acquisition, was led by corporate senior associate Emma Clayton, with advice from employment associate Angharad Davies, tax associate Kirsty Poulton and corporate solicitor David Jones.
