Lawyers in the Bristol head office of national firm TLT have advised leading global online fashion retailer boohoo.com on its £3.3m acquisition of a controlling stake in fellow online fashion brand PrettyLittleThing.

The TLT team was led by corporate partners Alice Gardner in Bristol and Stephen Devlin, based in its Manchester office, and included tax partner Nathan Williams, employment associate Jessica Foster, and corporate solicitor Nicola Morgan.

TLT was appointed to boohoo.com’s legal panel in 2014 to support the retailer on a broad range of legal issues, including contentious IP work, commercial advice, disputes, and property issues.

Alice Gardner said: This is our client’s first key acquisition since being listed on the [London Stock Exchange’s] AIM two years ago.

“In the last few years boohoo.com has grown from being Manchester’s best-kept fashion secret to one of the fastest-growing global online retailers. With PrettyLittleThing shortly to be within the group, that growth is set to continue both in the UK and internationally. We look forward to working with boohoo.com again in the near future.”

Boohoo.com general counsel and company secretary Keri Devine added: “Alice, Stephen and the whole TLT team were always there when we needed them throughout the process and delivered the transaction under a challenging timetable.  It was great to work with the TLT once again who delivered us a seamless best in class experience.”

Boohoo.com has said the acquisition of the 66% of PrettyLittleThing’s share capital would significantly boost its growth.

TLT also has offices in London, Manchester, Glasgow, Edinburgh and Belfast, as well as a specialist ship finance team in Piraeus, Greece.
